                                                              Agreement for the Supply of Recruitment Services

1. These Terms and Conditions of Business (“Terms”) are between Harmony Connections DMCC (the "Company”) and the “Client”, and are deemed to be accepted by the Client on the date of signing this document or, if sooner, upon the acceptance of an Introduction (which shall mean the receipt of information by the Client identifying a Candidate). The Client will be deemed to have accepted an Introduction unless it notifies the Company within 1 business day that the Candidate has previously been introduced for the position.                         

  • a. The Client agrees: a) to notify the Company immediately once an offer of Engagement (meaning direct or indirect employment or use of a Candidate whereby the Candidate receives money for services performed) is accepted and to provide the Company with details of the agreed package (including gross salary and other benefits).

  •  b) to pay the Company’s fee within 14 days of the invoice date or candidate commencement, which ever prevails in accordance with the relevant fee structure set out in clauses 3.a and 3.b. The fee must be paid by cheque payable to the Company, or via electronic transfer to an account stipulated by the Company. All payments are to be made by the Client to the Company in full without any set-off, counterclaim, deduction or withholding. Failure to pay within 14 days means the Company is exempted from clause 4.

2. Fee:

  • a) A fee shall be payable by the Client upon any Engagement occurring within 12 months of an Introduction. The fee shall be equal to 20% of the total guaranteed package value agreed with the candidate for the first 12 months of the engagement.

  • b) The full fee, calculated in accordance with clause 3(a), shall in respect of an Engagement for a fixed term and shall not be calculated on a pro rata basis.

  • c) VAT (at the prevailing rate) shall be payable on all amounts under these Terms.

3. Replacement of candidate following termination

In the event that the Engagement of a Candidate is terminated by the Client or the Candidate and provided that The Client notifies the Company in writing within 7 days of such termination, and Such termination is not due to redundancy the following terms will apply, If in the first twelve (12) weeks following the Engagement Date, the hired Candidate(s) is/are asked to leave for under-performance or any other serious motive, or leave(s) of his/her/their own volition, provided that there has not been a material change in the nature or location of the position, the Consultancy will re-launch a search and will endeavour to find a new Candidate under the original specifications with no additional fees within a 6 week search period.

4. Confidentiality:

Details of all Introductions must be kept confidential by the Client. If the Client passes on any details resulting in an Engagement of the Candidate by any third party within 12 months of the date of the Introduction, the Client shall be liable for a fee as set out in paragraph 3 and entitlement to this fee shall be without prejudice to any other remedy the Company may have.

5. The Company endeavours to ensure the suitability of any Candidate prior to an Introduction. However, the Client shall satisfy itself as to the suitability of any Candidate prior to an Engagement and shall be responsible for taking up any references and conducting such checks as they deem necessary and appropriate for that purpose. The Client shall be responsible for obtaining work and other permits, for arranging medical examinations and/or investigations into the Candidate’s medical history, and shall satisfy itself that any medical and other requirements, or qualifications required by law, are met by the Candidate.

6. To the fullest extent permissible by law, the Company’s maximum aggregate liability arising out of or in connection with these Terms shall be limited to the amount of the fee (less any rebates) paid for the Engagement from which the liability arises and, if there has been no Engagement or if no fee has been paid, the Company shall have no liability to the Client.

7. These Terms constitute the entire agreement between the Company and the Client and no variation of these Terms shall be effective without the written consent of an authorised representative of the Company. This contract shall be applicable under the rules and jurisdiction of the DIFC Courts. (Dubai International Financial Centre) “Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre.
