Agreement for the Supply of Recruitment Services
1. These Terms and Conditions of Business (“Terms”) are between Harmony Connections DMCC (the "Company”) and the “Client”, and are deemed to be accepted by the Client on the date of signing this document or, if sooner, upon the acceptance of an Introduction (which shall mean the receipt of information by the Client identifying a Candidate). The Client will be deemed to have accepted an Introduction unless it notifies the Company within 1 business day that the Candidate has previously been introduced for the position.
a. The Client agrees: a) to notify the Company immediately once an offer of Engagement (meaning direct or indirect employment or use of a Candidate whereby the Candidate receives money for services performed) is accepted and to provide the Company with details of the agreed package (including gross salary and other benefits).
b) to pay the Company’s fee within 14 days of the invoice date or candidate commencement, which ever prevails in accordance with the relevant fee structure set out in clauses 3.a and 3.b. The fee must be paid by cheque payable to the Company, or via electronic transfer to an account stipulated by the Company. All payments are to be made by the Client to the Company in full without any set-off, counterclaim, deduction or withholding. Failure to pay within 14 days means the Company is exempted from clause 4.
a) A fee shall be payable by the Client upon any Engagement occurring within 12 months of an Introduction. The fee shall be equal to 20% of the total guaranteed package value agreed with the candidate for the first 12 months of the engagement.
b) The full fee, calculated in accordance with clause 3(a), shall in respect of an Engagement for a fixed term and shall not be calculated on a pro rata basis.
c) VAT (at the prevailing rate) shall be payable on all amounts under these Terms.
